ARTIST: The artist contracted with the Client and procured, as agents only, by CWC under terms of this booking.

IN CONSIDERATION of CWC procuring an engagement between the Client and the Artist, the Client agrees:

1. FEES
   1. That all fees are based on a 8 hour day to include a lunch break.
   2. That normal working hours are 9am to 6pm.
   3. That overtime rates of 11/2 times the daily rate apply outside of normal working hours and on all bookings over 8 hours and Saturdays.
   4. That a special rate may be negotiated for work between midnight and 9am.
   5. That rates on a Sunday and Bank Holidays is payable at double the normal rate.
   6. The booking fee covers the right to use one image for one year from the date of the booking, in the UK only for the initial Permitted Use, further more the photographer is not entitled to use any images he/she takes for any usage beyond that agreed. The photographer to this extent agrees to restrict use of his/her copyright and, if the model agencies client is not the photographer and obtain his/her agreement to them before the shoot commences.
   7. The separately negotiated rates are payable for the right to use photographs (or reproductions or adoptions of, or drawings there from, either complete or in part, alone or in conjunction with any wording or drawings: including electronic imaging) for all known or anticipated purposes other than the permitted use (e.g. for Pack, Swing Tickets, Record Covers, Showcards, Posters etc.) poster fees charged out at a rete of six times the hourly rate, but are to be negotiated prior to booking, In general, the additional fee covers the right to use one image for one year from the date of the booking, in the UK only, for the purpose or purpose agreed.
   8. That on fashion show booking payment of the agreed fees confers the right to make use of the Model's services on the catwalk for the specified show and the right to use photographs and video of the show for reporting purposes only. Any other usage must be negotiated at the time of the booking.
2. PAYMENT:
   1. That CWC is responsible for the invoicing for the Artists' fees on behalf of the Artist.
   2. That the invoice for the services will be paid within 30 days of each assignment.
   3. That the individual making each booking is reponsible for payment of the invoice unless Catwalk agrees prior to the engagement and in writing that another party will be responsible. Catwalk reserve the right to invoice the 'Ultimate Client' (i.e. designer/manufacturer/owner of the product in question).
   4. That all fees are for the right to use the pictures and once agreed are payable whether or not the use is appropriated.
3. BOOKING:
   1. That the Client will provide written confirmation of the engagement specifying:
      1. the purchase order if applicable
      2. the agreed fee
      3. dates and times of the booking
      4. transport availability and/or overnight stays where applicable
   2. That for television engagements equity rates apply.
   3. That if the Artist is engaged by the Client where such engagment has not been procured by CWC that the client will pay to CWC an introduction fee of 30% for each engagement.
4. CANCELLATION:
   1. That cancellation on one working day or less shall result in the full invoice amount being payable (Cancellations will not be taken outside of office hours in the form of recorded telephone messages including weekends and bank holidays).
   2. That cancellation on two working days notice will be charged only half the Models fees.
5. WEATHER PERMITTING BOOKINGS:
   1. That the first cancellation shall render half the invoice amount being payable on the condition that the engagement is in sufficient time.
   2. That the second cancellation shall render the full invoice amount being payable.
6. COMPLAINTS:
   1. That any cause for complaint will be reported when arises. Complaints cannot be considered in retrospect.
7. RESTRICTIONS: In respect of any photographic cinematographic work featuring the Artist:
   1. That the Artist cannot sign release forms and any purported agreement is unenforceable.
   2. That photographs of the Artist shall not be used without the prior written agreement of CWC.
   3. That the Artist is able to under take any engagement without limitation unless the Client enters into a written exclusion agreement, the terms of which have been previously approved in writing by CWC.
   4. That any photographs or cinematographic film footage is for use within the UK only and CWC agrees to any other use.
8. AGENCY:
   1. That CWC is the authorised agent of the Artist for the purposes of procuring the agreement between the Client and the Artist.
   2. That the Artist on an engagement are self-employed principals of CWC, and CWC accepts no responsibility for their actions.
   3. That whilst on engagement, the Client is solely responsible for its public liability requirements.
   4. That these Terms and Conditions take precedence over any Terms and Conditions which may be recieved from the Client, and these Terms and Conditions in no way constitute a contract between CWC and the Client.
   5. That CWC reserve the right to negotiate within the structure of these Terms and Conditions.
